vrm Beta End-User License Agreement

Beta Tester Agreement

IMPORTANT — READ CAREFULLY.

This vrm Beta End-User License Agreement (“Agreement”) is a legally binding contract between you (“User,” “Tester,” or “you”) and VOTER RELATIONSHIP MANAGEMENT, LLC, doing business as vrm (“Company,” “we,” or “us”).

By clicking “I Accept,” creating a beta account, or accessing the vrm beta platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not access or use the Beta Services.

1. License Grant (Beta Use Only)

Subject to your compliance with this Agreement, Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the vrm platform in beta form (“Beta Services”) solely for evaluation, testing, and feedback purposes.

This Agreement does not grant any ownership rights in the vrm platform or related intellectual property.

2. Purpose of the Beta Program

The Beta Services are provided to evaluate functionality, stability, performance, and usability prior to general commercial release. The Beta Services may contain errors, bugs, or incomplete features.

Company makes no representations that any beta feature will be included in a final release.

3. User Responsibilities & Required Feedback

As a condition of beta participation, you agree to:

  • Use the Beta Services in good faith for their intended purposes

  • Actively evaluate system performance, workflows, and functionality

  • Submit bugs, errors, and usability feedback using vrm’s built-in bug reporting and feedback tools, when available

You acknowledge that providing feedback is a material obligation of this Agreement. Company may terminate your beta access if you fail to provide reasonable feedback.

All feedback may be used by Company without restriction, compensation, or obligation.

4. Fees & Payment Terms

4.1 One-Time Beta Setup Fee

You agree to pay a one-time, non-refundable beta setup fee of $250 prior to activation of the Beta Services. This fee covers:

  • Registration and configuration of A2P / 10DLC text-messaging use cases

  • Secure provisioning and verification of email sending infrastructure

  • Compliance preparation and technical onboarding required to enable messaging functionality

4.2 Subscription Fees Waived

Recurring vrm subscription fees are waived during the beta testing period.

Company reserves the right to introduce paid subscription plans upon beta conclusion, with advance notice.

5. Usage-Based Charges

You are solely responsible for all usage-based charges, including but not limited to:

  • Text message sending and receiving fees

  • Email sending or delivery fees

  • Carrier or infrastructure costs imposed by third-party service providers

Usage fees are billed separately and are not included in the beta setup fee. Failure to pay usage charges may result in suspension or termination of beta access.

6. Compliance Obligations

You are solely responsible for compliance with all applicable laws and regulations related to your use of the Beta Services, including but not limited to:

  • Political messaging regulations

  • A2P / 10DLC requirements

  • Consent, opt-in, and opt-out obligations

  • Email, SMS, and data privacy laws

Company does not provide legal compliance advice.

7. Confidentiality

You agree that the Beta Services, non-public features, workflows, pricing, and technical details constitute confidential information and may not be disclosed without Company’s prior written consent.

8. No Warranty

THE BETA SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, UPTIME, OR ERROR-FREE OPERATION.

You acknowledge that beta software is inherently experimental.

9. Limitation of Liability

To the maximum extent permitted by law, Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Beta Services.

Company’s total liability under this Agreement shall not exceed the amount paid by you for the beta setup fee.

10. Termination

Company may suspend or terminate your beta access at any time, with or without cause, at its sole discretion.

You may terminate your participation at any time; however, the beta setup fee is non-refundable.

Upon termination, your license to use the Beta Services immediately ends.

11. No Guarantee of Continued Access

Participation in the beta does not guarantee continued access, preferred pricing, or inclusion in any future commercial release of vrm.

12. Governing Law

This Agreement shall be governed by the laws of the State of Oregon, without regard to conflict of law principles.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and Company regarding the Beta Services and supersedes all prior discussions or agreements related to beta access.
